1. Introduction

1.1. These Terms and Conditions ("Terms") govern your use of the Antique Interiors website and services (collectively, the "Platform"), operated by Antique Interiors Ltd ("we," "us," or "our"), a company registered in the United Kingdom.

1.2. By accessing or using our Platform, you agree to be bound by these Terms. If you disagree with any part of these Terms, you must not use our Platform.

1.3. We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Platform. Your continued use of the Platform constitutes acceptance of the modified Terms.

2. Definitions

2.1. "Customer" refers to any user who purchases products through our Platform.

2.2. "Dealer" refers to any user who sells products through our Platform.

2.3. "Content" includes text, images, photographs, designs, graphics, logos, and all other materials uploaded to or appearing on the Platform.

2.4. "Membership" refers to the subscription service we provide to Dealers.

3. Platform Overview

3.1. Antique Interiors operates as a marketplace connecting Dealers of antique and vintage items with potential Customers.

3.2. We do not own the items listed for sale. We facilitate transactions between Dealers and Customers.

3.3. We are not responsible for the quality, safety, legality, or authenticity of any products offered on our Platform.

4. Account Registration

4.1. To use certain features of our Platform, you must register for an account.

4.2. You agree to provide accurate, current, and complete information during registration.

4.3. You are responsible for maintaining the confidentiality of your account credentials.

4.4. You are responsible for all activities occurring under your account.

4.5. You must notify us immediately of any unauthorized use of your account.

5. Dealer Terms

5.1. Dealer Registration: To become a Dealer, you must complete our registration process, provide all required information, and agree to these Terms.

5.2. Membership Fees:

  • Dealers may be required to pay membership fees, depending on their chosen pricing package.
  • Membership fees are processed through Stripe and are subject to Stripe's terms and conditions.
  • Membership fees are non-refundable except as required by law.
  • We reserve the right to change membership fees with 30 days' notice.

5.3. Listing Products:

  • Dealers are responsible for providing accurate and complete descriptions of their products.
  • All images must be original or properly licensed.
  • Dealers must accurately represent the condition, age, and authenticity of items.
  • Dealers must comply with all applicable laws regarding the sale of antiques.
  • We reserve the right to remove any listing that violates these Terms.

5.4. Commission Structure:

  • We charge a commission on each successful sale made through our Platform.
  • Commission rates vary based on your membership package.
  • Commission fees will be deducted from the payment before funds are transferred to the Dealer.

5.5. Payment Processing:

  • Payments from Customers are processed and held by us until the product has been successfully delivered.
  • Funds will be transferred to the Dealer's designated account within 14 business days after delivery confirmation.
  • In case of disputes, we reserve the right to withhold payment until the dispute is resolved.

5.6. Shipping and Fulfillment:

  • Dealers are responsible for shipping products within the timeframe specified in their listing.
  • Dealers must provide accurate tracking information when available.
  • Dealers are responsible for any customs duties, import taxes, or other fees associated with international shipping.

6. Customer Terms

6.1. Purchasing Products:

  • Customers purchasing products through our Platform enter into a contract of sale with the Dealer, not with us.
  • We facilitate the transaction but are not a party to the contract of sale.
  • By completing a purchase, you agree to pay the listed price plus any applicable taxes, shipping costs, and fees.

6.2. Payment:

  • All payments are processed through our secure payment system.
  • We temporarily hold funds until the product has been successfully delivered.
  • By making a purchase, you authorize us to charge your payment method for the total amount of your order.

6.3. Product Information:

  • While we require Dealers to provide accurate information, we do not verify or guarantee the accuracy of product descriptions or images.
  • Customers should carefully review all product information before making a purchase.

6.4. Returns and Refunds:

  • Return policies are set by individual Dealers and are listed on the product page.
  • To initiate a return, Customers must contact the Dealer directly through our messaging system.
  • We may mediate disputes between Customers and Dealers but are not obligated to do so.

7. Dispute Resolution

7.1. Non-Delivery:

  • If a product is not delivered within 30 days of purchase (or the timeframe specified in the listing), the Customer may request a full refund.
  • We will investigate non-delivery claims and may refund the Customer directly if the claim is substantiated.

7.2. Product Quality Issues:

  • If a product arrives damaged or significantly different from its description, the Customer must notify us within 7 days of delivery.
  • Customers must provide clear photographs of the issue as part of their claim.
  • We will review the evidence and may require the return of the item before issuing a refund.

7.3. Payment Disputes:

  • In the event of a chargeback or payment dispute, we may withhold payment to the Dealer and/or suspend the Dealer's account while we investigate.
  • Dealers agree to cooperate fully with any investigation and provide all requested information promptly.
  • Multiple chargebacks or payment disputes may result in termination of a Dealer's account.

8. Intellectual Property

8.1. Our Platform and its original content, features, and functionality are owned by us and are protected by international copyright, trademark, and other intellectual property laws.

8.2. Dealers retain ownership of their product images and descriptions but grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content for the purpose of operating the Platform.

8.3. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our Platform without our prior written consent.

9. Limitation of Liability

9.1. To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Platform.

9.2. We are not liable for:

  • Any transaction between Customers and Dealers;
  • The quality, safety, legality, or authenticity of products sold on our Platform;
  • Any misrepresentation by Dealers regarding their products;
  • Any damage or loss resulting from downloading or accessing content from our Platform;
  • Service interruptions, system failures, or data loss;
  • Delivery delays or failures caused by shipping providers.

9.3. Our total liability for any claim arising from or related to these Terms shall not exceed the amount paid by you to us during the six months preceding the claim.

10. Indemnification

10.1. You agree to indemnify, defend, and hold harmless Antique Interiors Ltd, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your violation of these Terms;
  • Your violation of any rights of a third party;
  • Your misuse of the Platform;
  • Content you submit, post, or transmit through the Platform;
  • For Dealers, any products you list or sell through the Platform.

11. Termination

11.1. We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

11.2. Upon termination, your right to use the Platform will immediately cease.

11.3. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

12.1. These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

12.2. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

13. Severability

13.1. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

14. Entire Agreement

14.1. These Terms constitute the entire agreement between you and us regarding the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and us.
